SunLakes AI Labs, LLC ("SunLakes," "we," "us") provides AI-powered software platforms and services to individuals and businesses. Our products include but are not limited to automated messaging systems, AI health companions, document intelligence tools, compliance automation, and multi-agent business infrastructure.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization. By using our services, you represent that you meet these requirements.
3. SMS Messaging — Missly and Other Messaging Services
Certain SunLakes products, including Missly, send automated SMS messages on behalf of businesses to their customers. The following terms apply to all SMS messaging conducted through our platforms:
- Program name: Missly by SunLakes AI Labs
- Message frequency: Varies based on customer interactions and business configuration
- Message and data rates may apply depending on your mobile carrier plan
- To opt out: Reply STOP to any message at any time. You will receive one confirmation message and no further messages will be sent
- For help: Reply HELP or contact us at info@sunlakes.ai
- Consent to receive SMS messages is not a condition of any purchase
4. Acceptable Use
You agree not to use our services to:
- Send spam, unsolicited messages, or messages to individuals who have opted out
- Violate any applicable law, regulation, or carrier guidelines including TCPA and CAN-SPAM
- Impersonate any person or entity or provide false information
- Interfere with or disrupt the operation of our platforms
- Use our AI systems to generate harmful, deceptive, or illegal content
5. Client Responsibilities
If you are a business using SunLakes services to communicate with your customers, you are solely responsible for:
- Ensuring you have proper consent from individuals before messaging them
- Compliance with all applicable laws including TCPA, CAN-SPAM, and state equivalents
- The accuracy of information you provide to configure our AI systems
- Any representations made by AI agents acting on your behalf
6. Intellectual Property
All SunLakes AI Labs software, platforms, designs, trademarks, and content are the property of SunLakes AI Labs, LLC. You may not copy, reverse engineer, resell, or redistribute our products without written permission.
You retain ownership of any data or content you provide to our systems. By using our services, you grant us a limited license to process that data solely to deliver the services you have requested.
7. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We do not sell personal data to third parties.
8. Disclaimers
Our services are provided "as is" without warranties of any kind, express or implied. We do not guarantee that our AI systems will be error-free, uninterrupted, or produce any specific business outcome. AI-generated responses should be reviewed by a human before being relied upon for important decisions.

9. Limitation of Liability
To the maximum extent permitted by law, SunLakes AI Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless SunLakes AI Labs, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your access to our services at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us at info@sunlakes.ai.
12. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Genesee County, Michigan.
13. Changes to These Terms
We may update these Terms from time to time. We will notify active clients of material changes via email. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
